When the U.S. has a slow news day, it often turns to international markets for inspiration. Today, stocks got conflicting news from two important Asian economies. On one hand, Japan's stock market spiked up about 5% on an even greater expansion in the nation's gross domestic product than initially projected. But China weighed in with less optimistic news, with a sluggish 1% growth rate in exports and two important measures of credit activity in the emerging-market nation falling precipitously during May compared with the previous month. In the U.S., stock investors essentially split the difference, with the Dow Jones Industrials (DJINDICES: ^DJI  ) finishing down just 10 points and with broader markets posting mixed results.

But the Dow had several pockets of strength today. UnitedHealth Group (NYSE: UNH  ) picked up 1.8% after the company got an upgrade from a Wall Street analyst. But UnitedHealth presents a couple of interesting opportunities for investors. First, although some aren't certain whether Obamacare will help or hurt insurance companies, it doesn't seem to have hurt UnitedHealth substantially at this point. Perhaps more importantly, the company's drive to look abroad for growth opportunities in Brazil could make UnitedHealth less vulnerable to Obamacare and other political action concerning health insurance.

Almost all the media I've seen since regarding the acquisition has been quite favorable. As I write this almost a full week has passed; the 10% uptick on the news is holding steady. It appears no one has a problem with this deal--except me. Read on and I'll explain why Jarden may be burning the candle at both ends.

    The Deal's Positives

    The company does a good job explaining why it's acquiring Yankee Candle. It comes down to six reasons:

    1. Yankee Candle are market leaders in premium scented candles.

    2. Its brand awareness results in repeat purchases providing recurring revenue.

    3. It does well in good and bad economic cycles.

    4. Free cash flow is strong and growing.

    5. It will add 10% to its pro forma adjusted earnings per share and that's before any synergies.

    6. It didn't have to go through a bidding war.

    You don't have to be a rocket scientist to see that the deal boosts its margins in impressive fashion. Its adjusted gross margin will increase 320 basis points to 32.1% while its adjusted EBITDA margin improves 140 basis points to 13.2%. And all it has to do to achieve these improvements is to shell out $1.75 billion paid using cash on its books, new equity and some additional debt. In this low-rate environment it doesn't seem like a bad proposition. Especially if it can generate permanent cost savings through economies of scale, etc.

    What it really brings to the table is top-line growth. In 2012, Yankee Candle's revenues increased by 7.4% year-over-year to $844.2 million. Meanwhile, Jarden's revenues in 2012 were flat year-over-year at $6.7 billion. Its 542 retail stores delivered same-store sales growth of 2.5% in 2012, which is more than respectable.     One of the only ways to fight this is by getting bigger. A good example in another industry is Jarden (JAH), a consumer goods business with annual revenues of $7.4 billion. It�� as big as it is in order to be able to provide a larger assortment of products to Walmart (WMT), its biggest customer, representing 20% of overall sales. Without this wide assortment, Bentonville would have to go elsewhere for sales. The same scenario applies to cable and television content.

    It's time to value Amazon for what it is today
    Accepting the reality that Amazon has grown up makes it much easier to value the company against existing businesses. Competitor Ebay (NASDAQ: EBAY  ) is juicing its revenues at an annual clip of 21%, and it trounces Amazon on a profitability basis, generating $2.6 billion of net profit on only $14.1 billion of sales. The market values Ebay at 28.6 times trailing 12-month earnings, which is an aggressive, but realistic, multiple. Apple (NASDAQ: AAPL  ) , huge as it is, surprisingly is growing faster than either Amazon or Ebay, with higher profits. Like Amazon, its revenue is comprised primarily of retail sales, supplemented by services revenue. Geospace Technologies Corporation, formerly OYO Geospace Corporation, incorporated on September 13, 1997, designs and manufactures instruments and equipment used in the acquisition and processing of seismic data, as well as in the characterization and monitoring of producing oil and gas reservoirs.
